Terms of Service

1.Acceptance of Terms

By accessing or using Salda ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2.Description of Service

Salda is an invoicing and payment tracking service that helps freelancers, consultants, and small businesses manage their billing. The Service includes:

  • Invoice creation and management with pay-link functionality
  • Stripe payment link integration for online payments
  • Automated payment reminders and follow-up sequences ("Autopilot")
  • Customer and invoice tracking dashboard
  • Proof Pack document generation for dispute documentation
  • Multi-currency support (EUR, USD, GBP)

3.Account Registration

To use the Service, you must:

  • Be at least 16 years old
  • Provide accurate and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account

You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.Stripe Connect

To receive payments through the Service, you must connect a Stripe account. By doing so, you also agree to Stripe's Connected Account Agreement and Stripe's Terms of Service.

Stripe handles all payment processing, including credit card transactions. Payment disputes, chargebacks, and refunds are governed by Stripe's policies. We are not responsible for Stripe's actions, policies, or service availability.

5.Acceptable Use

You agree not to use the Service to:

  • Send fraudulent invoices or use the Service to deceive or defraud others
  • Harass, abuse, or threaten others, including through payment reminders
  • Violate any applicable laws, regulations, or third-party rights
  • Send invoices for illegal goods, services, or activities
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service for debt collection activities beyond legitimate invoice follow-up
  • Transmit malware, viruses, or any code of a destructive nature
  • Scrape, data mine, or use automated means to access the Service without permission

We reserve the right to suspend or terminate accounts that violate these terms, at our sole discretion.

6.Payment and Billing

Trial Period

New accounts receive a 7-day free trial. A valid payment method is required to start the trial. If you do not cancel before the trial ends, you will be automatically charged for your selected plan.

Subscription Plans

Paid plans are billed monthly or annually in advance. You authorize us to charge your payment method for all fees incurred. All fees are stated in euros (EUR) unless otherwise specified.

Plan Changes

  • Upgrades: Take effect immediately; you will be charged the prorated difference
  • Downgrades: Take effect at the end of your current billing period

Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our discretion in exceptional circumstances. Contact support@salda.io for refund requests.

Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including VAT where applicable. We will add VAT to invoices for EU customers where required.

7.Your Content and Data

You retain ownership of all content and data you submit to the Service ("Your Content"), including customer information, invoice data, and attachments.

By using the Service, you grant us a limited license to use, process, and store Your Content solely for the purpose of providing the Service. This includes:

  • Storing and displaying invoices and customer information
  • Sending emails on your behalf (invoices, reminders, receipts)
  • Generating Proof Pack documents
  • Processing payments through Stripe

You are solely responsible for ensuring you have the right to share customer information with us and that Your Content does not violate any third-party rights or applicable laws.

8.Important Disclaimer

This product provides documentation and reminder automation tools.

Salda does not provide:

  • Legal advice or legal representation
  • Debt collection services (as defined by applicable consumer protection laws)
  • Dispute resolution or mediation services
  • Credit reporting or credit bureau services

Users are solely responsible for their escalation decisions, compliance with local laws regarding payment collection, and the accuracy of invoices they create. The Proof Pack feature provides documentation only and does not constitute legal evidence.

9.Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of Salda and its licensors. This includes:

  • The Salda name, logo, and branding
  • Website design, text, graphics, and user interface
  • Software, code, and underlying technology
  • Email templates and reminder sequences

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

10.Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of content

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will meet your specific requirements or expectations

11.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SALDA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use the Service
  • Damages arising from any content obtained through the Service
  • Damages arising from unauthorized access to your account or data
  • Actions taken by your customers or third parties based on invoices or reminders sent through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR €100, WHICHEVER IS GREATER.

12.Indemnification

You agree to indemnify, defend, and hold harmless Salda, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) invoices, reminders, or communications you send through the Service.

13.Termination

Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You can export your data before account closure.

Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our acceptable use policy
  • Engage in fraudulent or illegal activities
  • Fail to pay fees when due
  • Create risk or legal exposure for us

Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow export, after which it will be permanently deleted.

14.Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through:

  1. Good faith negotiation — Contact us first to attempt informal resolution
  2. Mediation — If negotiation fails, disputes may be submitted to mediation
  3. Courts — If mediation fails, disputes shall be submitted to the competent courts of Amsterdam, Netherlands

For EU consumers: Nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.

15.Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending an email notification at least 14 days before changes take effect (for material changes)

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

16.General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Saldaregarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
